Welcome to the website of Art of Barter (“Company,” “we,” “our,” or “us”). By accessing or using our website, services, or barter exchange platform (collectively, the “Services”), you agree to comply with and be bound by the following Terms of Use (“Terms”). If you do not agree with these Terms, you should not use our Services.
1. Nature of Our Services
Art of Barter operates as a barter exchange. We bring buyers and sellers together so that they can conduct business with one another using barter dollars.
- Independent Transactions: All barter transactions are solely between buyers and sellers. Art of Barter is not a buyer, seller, or guarantor of any transaction.
- Third-Party Record Keeper: We maintain records of barter transactions, accounts, and balances. We act only as a record keeper and clearinghouse for barter dollars.
- Fees: Our revenue is derived from (a) a cash transaction fee charged on barter transactions and (b) a monthly service fee for maintaining member accounts.
2. Membership and Account Responsibilities
- To participate in the barter exchange, you must open and maintain an account with Art of Barter.
- You agree to provide accurate and complete information when registering and to update such information as needed.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
3. Role of Art of Barter
- We are not responsible for the quality, legality, safety, or delivery of goods and services exchanged between members.
- We do not provide warranties, express or implied, regarding any barter transaction.
- All disputes between buyers and sellers must be resolved by the parties directly.
4. Fees and Payments
- You agree to pay all applicable fees as published by Art of Barter, including monthly service fees and transaction fees.
- Fees may be charged in U.S. dollars (“cash fees”) and are separate from barter dollar balances.
- We reserve the right to update our fee structure at any time, with notice to members.
5. Barter Dollar Accounting
- Art of Barter maintains member barter dollar balances as a third-party record keeper.
- Barter dollars are not legal tender, securities, or cash, and may only be used within the exchange.
- Balances are non-transferable outside of the exchange except as expressly authorized by Art of Barter.
6. Acceptable Use You agree not to:
- Use the Services for unlawful purposes;
- Misrepresent goods or services;
- Engage in fraudulent, abusive, or misleading behavior;
- Interfere with the proper functioning of the exchange or website.
7. Intellectual Property
- All content, design, and materials on the Art of Barter website are the property of Art of Barter or its licensors and may not be copied, reproduced, or distributed without our written consent.
8. Limitation of Liability
- Art of Barter shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Services or participation in barter transactions.
- Our total liability for any claim shall not exceed the amount of fees paid by you to Art of Barter in the six (6) months preceding the claim.
9. Indemnification
- You agree to indemnify, defend, and hold harmless Art of Barter, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising out of your participation in the exchange or your violation of these Terms.
10. Modifications
- We may modify these Terms from time to time. Updates will be posted on our website with the effective date. Continued use of the Services after modifications constitutes your acceptance of the revised Terms.
11. Governing Law
- These Terms shall be governed by and construed under the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Illinois.
